Terms of Service

By accessing or using the services provided by Umber Financial (“we,” “our,” or “us”), you agree to be bound by these Terms of Service.

If you do not agree to these terms, you should not use our services.

Umber Financial provides structured financial support services, including but not limited to:

• Bookkeeping and financial record maintenance 
• Financial reporting 
• Account cleanup and financial reconstruction 
• Ongoing financial organization and oversight 
• 
  

Services are designed to improve financial accuracy and organization. We do not provide legal, tax, or investment advice unless explicitly stated in writing.

Consultations are scheduled, paid sessions designed to assess your financial records and determine the appropriate level of service.

Consultation fees are due at the time of booking and are non-refundable.

Consultations do not include the execution of bookkeeping, cleanup, or financial correction services.

All recommendations and findings are based on the information available at the time of the consultation and do not constitute ongoing service.

All service pricing is based on the condition of your financial records, number of accounts, time behind, and level of correction required.

If additional work is identified beyond the original scope, a revised scope and pricing will be provided for approval before any additional work begins.

All fees are agreed upon prior to the start of services.

• Consultation fees are non-refundable and must be paid in full at the time of booking. 
• Cleanup and financial reset services are one-time fees and must be paid in full or according to agreed terms before work begins. 
• Ongoing financial maintenance and management services are billed monthly and must remain current to continue service. 

Late or missed payments may result in service delays, suspension, or termination.

All fees are non-refundable unless otherwise stated in writing.

To ensure accurate services, you agree to:

• Provide complete and accurate financial information 
• Submit requested documents in a timely manner 
• Maintain access to necessary accounts and software 
• Review reports and notify us of discrepancies 

Failure to provide accurate or timely information may impact service quality and timelines.

We maintain strict confidentiality regarding your financial and personal information.

We will not disclose your information to third parties without your consent, except as required by law or necessary to provide services.

Umber Financial is not liable for:

• Errors resulting from inaccurate or incomplete information provided by the client 
• Financial losses related to business decisions made by the client 
• Indirect, incidental, or consequential damages 

We are not responsible for inaccuracies, discrepancies, or issues that existed prior to the start of services beyond the agreed scope of correction.

We do not guarantee specific financial results, profit increases, or business outcomes.

Our services are intended to improve financial clarity and organization, not to guarantee specific financial performance.

Completion of a financial reset or cleanup service does not include ongoing maintenance.

Continued accuracy requires separate ongoing financial maintenance or management services.

Either party may terminate services with written notice.

We reserve the right to terminate services immediately if:

• Payment is not received 
• Required information is not provided 
• There is misuse of services or breach of these terms 
• 
  

All materials, systems, processes, and frameworks provided by Umber Financial remain our intellectual property unless otherwise agreed in writing.

We may use third-party software and platforms to provide services.

We are not responsible for outages, errors, or issues related to third-party systems.

These Terms are governed by the laws of the State of West Virginia, without regard to conflict of law principles.

We may update these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date.
